ARTICLES OF INCORPORATION
OF
ALPHA SIGMA PHI - PHILIPPINES
INTERNATIONAL COLLEGIATE SERVICE
ORGANIZATION, INCORPORATED
KNOW ALL MEN BY THESE PRESENTS:
WE,
THE MEMBERS OF THE ALPHA SIGMA PHI, PHILIPPINES INTERNATIONAL COLLEGIATE
SERVICE ORGANIZATION, INCORPORATED, REGARDLESS OF RACE, CREED AND COLOR DEVOTED
TO THE NOBLE IDEAS OF HUMANITY AS EMBODIED IN OUR SCHOOLS AND COMMUNITY IN
ORDER TO UPHOLD AND PROPAGATE THE PRINCIPLES OF SERVICE, LEADERSHIP AND LOYALTY
AND TO FOSTER SPIRITUAL, MORAL AND SOCIAL ADVANCEMENT OF OUR MEMEBRS DO HEREBY
PROMULGATED THIS ARTICLES OF INCORPORATION AND BY-LAWS.
FIRST.
The Organization shall be called Alpha
Sigma Phi Philippines International Collegiate Service Organization, Inc. Its
National Headquarters shall be located in 1845 Mongcopa Drive, Orchids, Daro,
Dumaguete City, Philippines.
SECOND.
The organization shall have only one corporate seal to be adopted by the Alpha
Sigma Phi Philippines International Collegiate Service Organization, Inc. and
which shall appear in all official communications of the organization.
THIRD. Objectives: The organization
shall aim to:
a. Foster lifetime brotherhood
and sisterhood and unity among members.
b. Promote the welfare of the
members;
c. Build noble leaders and better
citizens for tomorrow;
d.
Work for greater involvement in the affairs of the school as well as in the
community.
FOURTH: That the
term for which the Organization is to exist is fifty (50) years from and after
the date of issuance of the certificate of incorporation, which shall be
renewed for like period.
FIFTH: That the
names, nationalities and residences of the incorporators of the
Organization are as follows:

the capital of the association was contributed by the incorporators and
directors who are also members of the Organization as follows:

EIGHT: That no
part of the income of the Organization may obtain as an incident to its
operation shall be distributed to its members, trustees or officers subject to
the provisions of the Corporation Code on dissolution. Any profit obtained by
the Organization as a result of its operation, whenever necessary or proper
shall be used for the furtherance of the purposes enumerated in Article II,
subject to the provisions of Title XI of the Corporation Code of the
Philippines.
NINTH: That
______________________ has been elected by the members as Treasurer of the
Organization to act as such until his/her successor is duly elected and
qualified in accordance with the by-laws; and that as such Treasurer, he/she
has been authorized to
receive for and in the name of the Organization all contributions or donations
paid or given by the members.
TENTH: That the
incorporators undertake to change the name of the Organization immediately upon
receipt of notice or directive from the Securities and Exchange Commission that
another organization, partnership or
person has acquired a prior right to the use
of that name or that the name has been declared as misleading,
deceptive, confusingly similar to a registered name, or contrary to public
morals, good customs or public policy.
ELEVENTH: That
the organization shall comply with the requirements for non-stock corporations
in the course of its operations.

OF
ALPHA
SIGMA PHI PHILIPPINES
INTERNATIONAL
COLLEGIATE SERVICE ORGANIZATION, INC.
ARTICLE I
MEETINGS
Section 1.
National Assembly. The general membership regular meeting of the national
assembly, either National Biennial Convention (NBC) or National Leadership
Conference (NLC), is to held annually every 3rd week of April for a minimum
of two (2) days.
Section 2. The
regular meetings of the National Assembly shall be held during biennial
convention and national leadership conference.
Section 3. Special Meetings. Special
meetings of the members shall be in the form of conclaves and summits and may
be called as the need thereof arises.
Section 4. The
National Executive Council, Board of Trustees and other Council Offices shall
be required to convene either monthly or quarterly.
Section 5.
Alumni Associations and Undergraduate Chapters shall be required to convene
regularly, either on a weekly or monthly basis.
ARTICLE II
NATIONAL ASSEMBLY
Section 1. The
National Assembly is the highest policy making body of the Organization.
Section 2. The National Assembly is composed
of the official delegates from the alumni associations, undergraduate
chapters, past national presidents, members of the national executive council
and alumni foundation in good standing.
Section 3. The National
Assembly is a national annual gathering referring to the National Biennial
Convention and National Leadership Conference which shall be held
alternately.
Section 4.
Notices. A notice of assembly which includes the agenda shall be transmitted
through fastest means under the directive of the National President to all
registered and recognized members of the alumni associations,
undergraduate chapters, past national presidents, members of the national
executive council and alumni foundation in good standing at least three
months before the fixed date.
Section 5. Quorum. A majority of the
delegates present and entitled to vote shall constitute a quorum for all
business of the annual national assembly, but a lesser number may convene
for the purpose of setting a time at which to reconvene or to adjourn the
national assembly.
Section 6. Each
official delegate shall make a brief report on the status of his chapter or
association to be submitted to the National President one month prior to the
National gathering. The President shall then prepare a consolidated report to
the National Assembly to include the status reports of the Alumni associations
and Chapters.
Section 7. Hosting of the national
assembly through bidding is open to all interested chapters/associations which
shall be chosen before the end of the assembly. A bidder attaining majority
vote by the attending delegates shall be the host of the said assembly.
ARTICLE III
BOARD OF TRUSTEES
Section 1. The
Board of Trustees shall exercise the corporate powers and provide general
policy directions for the Organization.
Section 2.
Composition. The Board of Trustees shall be composed of fifteen (15) members as
follows:
i a)
Six (6) alumni members voted at large during a National Assembly called for
such
purpose.
ii b)
Six (6) alumni representatives, two (2) each from Luzon, Visayas and
Mindanao.
iii
c) Three (3) undergraduates, each representing Luzon, Visayas and Mindanao.
Section 3. The
term of office of the Board of Trustees shall be two (2) years and can be
re-elected for another two (2) year-term. They shall be elected through secret
balloting among voting delegates during the general membership regular meeting
of the national assembly.
Section 4. Any
member who had served as National Officer for three (3) consecutive terms shall
not be voted again to the position as member of the Board of Trustees.
Section 5. The
following committees shall have as Chairman, a member of the Board of Trustees,
to wit:
1. Committee on Undergraduate
Affairs
2. Alumni Affairs Committee
3. Committee on Community Affairs
and International Relations
4. Committee on Awards and
Recognition
5. Committee on Internal Affairs
6. Elections Committee
Section 6. The
Committee Chairman shall have full authority to appoint members of their
respective committees, and shall submit the same to the board of trustees for
proper acknowledgement.
Section 7. All
Committee Chairmen shall be required to submit their plans and programs to the
National President for consolidation and approval of the Board of Trustees. Non-
submission of said report shall subject the Committee Chairmen concerned to
disciplinary action by the Board en banc.
ARTICLE
IV
NATIONAL OFFICERS
Section 1 The
National Executive Officers shall be as follows:
(a)
President
(b) Vice-President
(c) Executive Director
(d) Secretary
(e) Treasurer
(f) Auditor
(g) Herald
Section 2.
Except for the Executive Director, the Board of Trustees shall elect from among
themselves the National Executive Officers who shall serve for a period of two
(2) years.
Section 3. The
Executive Director. The Executive Director shall be appointed by the President from
among the elected Board Member or from the roster of officially registered
members of the organization with the concurrence of the Board of Trustees. The
term of office of the Executive Director shall be co-terminus with the
appointing officer.
Section 4. The
following national officers shall likewise be appointed by the National
President from the roster of officially registered members of the Organization with
the concurrence of the Board of Trustees:
a.
National Historian
b.
National Archivist
c.
Regional Coordinator
d.
Faculty Chapter Advisers
Section 5. Qualifications of Officers. The
National Officers and the members of the Board of Trustees shall have the following
qualifications:
a) Must be a bona fide member of Alpha Sigma Phi,
International Collegiate Service Organization, Inc.
b)
Must be at least a four-year college degree holder.
c) Must have held office in the undergraduate
chapter or an officer or a trustee in the alumni association.
d)
Must be a member of good standing and of good moral character.
e) Must be financially capable to support all the activities in the performance of
his/her duties and responsibilities
ARTICLE
V
FUNCTIONS AND POWERS OF THE NATIONAL
OFFICERS
Section 1.
President. Is the Chief Executive Officer who shall preside over all types of
meetings in the Board, in the general assembly, conclaves and conferences. He/
She shall supervise the formulation of the plans and programs for the fiscal
year. He/She or his authorized representative shall represent the organization in matters of
general concern and public functions of national importance and scope where the
presence of the Organization is required.
Section 2. Vice
President. Shall succeed the President in the event that such position becomes
vacant by reason of resignation, immigration, incapacity, death or by removal
as provided in the penal clause of this Constitution and the By Laws. With
written authority from the President or the Board of Trustees, he/she shall
represent the President in matters of general concern and public functions.
He/she may perform other functions required of him/her by the President or the
Board.
Section 3. Executive Director. With the concurring action of the Board of
Trustees on the appointment to the position, the Board shall clearly define the
functions inherent to the position.
Section 4. Secretary
- He/she shall issue calls, serve
notices, prepare the agenda of the meetings of the Board, the general assembly,
conclaves and conferences. He/she shall prepare an updated list of active
members of the Organization. He/she shall provide the said document to the
Commission on Elections two (2) months prior to an election. He/she shall take the
minutes of all meetings and proceedings of the Board of Trustees, general
assembly, conclaves and conferences.
Section 5.
Treasurer - He/she shall collect for safekeeping the fees and dues received,
issue official receipts therefor and pay all authorized expenses of the
Organization. He/She shall prepare the financial report, which shall be
furnished to the Auditor before submission to an independent Certified Public
Accountant for attestation and confirmation on the veracity of its contents,
and render such report at the general assembly. The fee of the Certified Public
Accountant shall be determined and approved by the Board of Trustees on a case
to case basis. (…)
Section 6.
Auditor - Prior to submission of the Treasurer’s report to a Certified Public
Accountant, he/she shall review the report thoroughly from the first entry to
the last digit entered during the fiscal year before affixing his/her signature
on the report, an exercise of internal financial control. He/she shall conduct regular audits on the petty cash fund of the
Treasurer and render a report to the Board during its regular or special
meetings. Further, he/she shall develop and maintain an effective audit plan
and on the basis thereof carry out regular, special or spot internal audits of
the financial and operational systems and procedures at all levels of the
Organizations to, among others 1) Detect error, fraud or malpractices and to
investigate them and recommend corrective actions or recommend punitive actions
when warranted; 2) Determine compliance with established systems, policies,
procedures and the law; 3) Ascertain whether activity, program and project
results are consistent with established goals and objectives; 4) Recommend
measures for operations improvement; 5) Safeguard assets and interests of the
Organization; 6) Mitigate or eliminate risks; 7) Ensure business continuity;
and, 8) Submit his/ her report(s) and recommendation(s) to the Board of
Trustees.
Section 7.
Herald - He/she shall
promote and project a good image of Alpha Sigma Phi, International Collegiate
Services, Inc. to the public through all media outlets. Likewise, he/she shall
be responsible in disseminating updated information to all Alumni and
Undergraduate chapters. (…)
Section 8.
National Historian. He/she shall identify items of historical interest to the
Organization and shall acquire and preserve them. He/she shall prepare
report(s) covering the articles, items, materials citing thereof the alumni or
undergraduate chapters, members, officers of origin. The report, items, relics,
etc. shall be submitted to and evaluated by the Board of Trustees.
Section 9.
National Archivist. He/she shall receive from the Board of Trustees items,
relics, etc. decided or considered by the latter as having historical value.
He/she shall keep, maintain and manage the area where the records of the
Organization and other items or materials are archived for safekeeping and for
future references.
Section 10. Regional Coordinators. He/she shall represent the National President in
meetings of alumni associations in the city or province of domicile. He/she
shall assist the association during meetings and help to organize annual conclave or summit for the
association.
Section 11. Faculty Undergraduate Chapter Adviser. He/she shall represent the President in the meetings of Undergraduate chapter to which he/she is assigned. Aside from the advisory function in the chapter, he/she shall assist or help in organizing joint meeting/s of the Undergraduate chapter(s) and Alumni association(s) in the area of chapters domicile.
ARTICLE VI
COMMITTEES
Section 1. To
assist the Organization in carrying out its functions, the programs and
implementation of projects, the following committees shall be filled in
with members from within and outside the Board of Trustees through appointment
by the President with the concurrence of the Board:
(a) Committee
on Undergraduate Operations. It shall supervise
the implementation of existing policies, rules and regulations concerning
undergraduate operations and the policies, rules and regulations that the Board
of Trustees may hereinafter promulgate. It shall set guidelines and draw rules
and regulations, subject to the approval of the Board of Trustees, on the
implementation of the Educational and Scholarship program of the Organization.
(b)
Alumni Affairs Committee. It shall supervise the implementation of existing
policies, rules and regulations concerning alumni affairs and the policies,
rules and regulations that the Board of Trustees may hereinafter promulgate.
(c)
Committee on Community Affairs and
International Relations. It shall liaise between
any government office, national or local, and the Organization and shall handle
all international relations concerns of the Organization subject to policies,
rules and regulations that the Board of Trustees may hereinafter promulgate.
(d)
Committee on Awards and Recognition. It shall supervise the giving of awards and recognition
to members who have distinguished themselves in their chosen fields of endeavor
and which has given honor to the Organization.
(e)
Committee on Internal Affairs. It shall conduct continuous research for technically and
economically feasible income generating projects and programs that are easy to
implement and can bring benefits to the Organization, members and the
community. It shall also prepare the program of work and detailed cost estimate
of these projects and programs for the approval of the Board of Trustees.
(f) Elections Committee. Shall be appointed by the
President with the concurrence of the Board of Trustees. It shall be responsible
for the conduct of all elections for the Organizations. It shall be the sole
judge of all contests relating to the elections, returns and qualifications of
members of the Board of Trustees and shall promulgate and adopt rules and
regulations as may be necessary for the discharge of its functions.
Section 2. Each
Committee shall be composed of five (5) members, four (4) of which shall come
from the general membership. The composition will afford the members to be
directly involved in the affairs of the Organization. Except for the Elections
Committee, the chairmanship shall be given to one of the members of the Board
of Trustees or the National officers whose expertise may fit the committee
requirements.
Section 3. The
Board may create other committees, through Resolution, to further aid the Organization in its operations and functions. The
function of the committees so created shall be specific and their existence
shall be co-terminus with the project or program for which they were created.
The composition of the committees and their membership shall follow the
provision of the immediate preceding Section 2. Should there be more committees
created by the Board and its officers and trustees are already fully utilized
in other committees, the chairmanship shall be given to one coming from the
general membership.
Section 4. All
committees shall submit to the Board a periodic written report on an ongoing project or program, or immediately after a project
or program is terminated or accomplished. The report shall contain the
activities undertaken, the method of implementation and difficulties
encountered. The Board shall act, if required, on the report within ten (10)
days from receipt thereof.
Section 5. Committees
may draw internal rules, regulations and guidelines to aid them in the implementation of their tasks.
ARTICLE
VII
MEMBERS
Section 1. Qualifications for Membership.
Membership to the Organization is open to bonafide students of tertiary
education with good moral character, good health and who are willing and able
to serve, to lead, and to be loyal to the vision, mission and goals of the
organization.
Section 2. Acceptance of Prospective
Members. A prospective member shall be accepted after completion of all the
requirements as embodied in the Pledge Education Program (PEP) and upon compliance
with the acceptance procedure prescribed by the rules of the Organization.
Section 3. Disqualification for
Membership. Quitters and resignees of any chapter and other fraternities shall
not be eligible for membership to the Organization.
Section 4. Duties of Members. All
members shall have the following duties:
(a) Foster unity and harmony in
the organization
(b) Financially support the
organization
(c) Respect brothers and sisters
at all times
(d)
Comply with the legal obligation to stamp out all forms of hazing in the
recruitment process and to strengthen the Pledge Education Program
(e)Demonstrate
in thoughts and actions the meaning of true brotherhood and sisterhood by
exhibiting in all dealings with Alphans and the community at large, the
obligation to speak the truth, to radiate love, and to observe equality among
members of the Organization.
Section 5. Members in Good Standing. To
be considered a member in good standing,
one must:
(a) have settled all financial obligations with the Organization;
(b) maintained the grade point average set by
the chapter; and
(c)
actively participate in the affairs of the Organization and chapter or association
where he or she is a member.
Section 6. Membership for Life.
Membership in the organization is for life, however, a member, by his own
volition, may voluntarily terminate his membership to the Organization.
Section 7. Affiliation. A member may
affiliate to other local chapter subject to the acceptance of the latter.
Section
8. No member shall be allowed to join
any other Greek Letter fraternity/sorority. This provision, however, shall not
apply to any professional, social or civic organization.
ARTICLE
VIII
ORGANIZATION
Section 1. The Organization shall be composed of
Undergraduate Chapters and Alumni Associations.
A.
UNDERGRADUATE
CHAPTERS
Section 2. Undergraduate chapters shall
be established in educational institutions and universities duly recognized by the Commission on
Higher Education.
Section 3. A
newly organized chapter shall be issued a Certificate of Recognition only after
it has submitted the requirements to the Board of
Trustees and upon attendance in the general assembly.
Section 4. For
the name of the new Chapter, the Board of Trustees shall designate a Greek letter or a combination of Greek letters followed by
the name of the school or university to the new Chapter.
Section 5. The
following are the officers of an Undergraduate Chapter, viz: Grand Chancellor, Chancellor, Keeper of the Scroll, Exchequer, Keeper
of the Mace, Pledge Educator and Herald. There shall also be two (2) Advisers
(either alumni or non-member) who shall be chosen by the Chapter officers.
Section 6. A
Chapter shall draw its own policies, rules and regulations. Provided, however, such policies, rules and regulations do not
contravene with the Constitution and By-Laws and the policies, rules and
regulations of the Alpha Sigma Phi International Collegiate Service
Organization, Philippines, Inc.
Section 7. A
member of an undergraduate chapter in an institution of learning or university who moves to another institution or university where
another chapter of Alpha Sigma Phi International Collegiate Service Organization,
Inc. exists has the option to either join the chapter at the new school or
remain with the chapter of origin. In the event that such situation involves
transfer of residence of the transferee, he/she may be accommodated by the
chapter at the new school and domicile. The host Chapter at the new school
shall draw rules and regulations to meet such a situation. Such rules and
regulations shall only be applicable to the host Chapter.
Section 8. Each chapter shall be
entitled to two (2) voting delegates and one (1) alternate to The National
Assembly or in meetings where chapter representation is required.
B. ALUMNI
ASSOCIATIONS
Section 8. There shall be created Alumni
Association which shall be composed of alumni members with valid
qualifications:
a)
he/she is a duly accepted member of the fraternity having passed all the
requirements of membership and has graduated of from any course of
choice;
b)
brothers and sisters who were not able to finish a degree nor acquire a
certificates of or
diploma.
Section 9. Upon application, a certificate of
recognition may be granted to an alumni association having at least 15
members. The formal chartering of the
alumni association shall be granted only after deliberation and clearance of
the Executive Director and upon approval by the President.
Section 10. The affairs of the alumni
associations shall be managed by its own Board of Trustees and Officers who
will be elected by and among the members.
Section 11. The alumni association shall be governed by
their own policies, rules and regulations consistent with this Constitution and
By-Laws.
Section 12. Each alumni association shall be entitled to
two official voting delegates and one alternate to the national assemblies or
conventions.
ARTICLE
IX
ALUMNI FOUNDATION
Section 1. The
alumni foundation shall be created to support medical, educational, resource
generation and other needs to enhance the well-being of the organization, more
specifically undergraduate chapters and alumni associations.
Section 2. The alumni foundation shall
support other community services of humanitarian nature of the Organization.
Section 3. The alumni foundation shall
manage gifts and donations made by generous donors and other revenues generated
as good stewards.
Section
4. The Board of Trustees of every Alumni Association shall create a secretariat
to attend to the routinary affairs of the foundation.
ARTCLE X
PAST
NATIONAL PRESIDENTS ADVISORY GROUP
Section 1 There shall be an advisory
group composed of past National Presidents who shall have voting privileges but
cannot be voted upon, except when he/she represents an alumni association.
Section 2 The Advisory Group shall
formulate its own policies, rules and regulations.
Section 3 The Advisory Group may be
invited/called upon by the Board of Trustees as deemed proper and necessary.
ARTICLE
XI
GRIEVANCE OFFICE
Section 1 There shall be created a
National Grievance Office, which will be composed of a Chairman, Vice-Chairman
and three (3) members to be elected by the national assembly during biennial
convention, whose term of office is two (2) years without prejudice to
re-election.
Section 2. The National Grievance Office
shall be vested with investigative and adjudicative powers including settlement
through mediation and conciliation
for all cases referred to it. For cases of expulsion, the office shall
recommend such penalty to the Board of Trustees for approval by Two Thirds
(2/3) votes of all members.
Section 3 There shall be a separate
budget for this office which shall be approved during the biennial convention.
Section 4 The National Grievance Office
shall formulate its own implementing rules and procedures in the furtherance of
its functions to be approved by the Board of Trustees.
Section
5. There shall also be created a Grievance Office for every undergraduate
chapters and alumni associations which shall investigate and adjudicate cases
referred to it. Settlement through mediation and conciliation shall be
paramount.
ARTICLE
XII
FEES, CHARGES AND ASSESSMENTS
Section 1. A one time registration fee in the amount to
be determined by the Board of Trustees shall be collected from each member duly
issued with official receipt by the National Treasurer for the issuance of the
national I.D. and for the replacement thereof.
Section 2. The chapter shall collect from each member a
monthly due the amount to be determined by the Board, and 20% of which shall be
remitted to the National Executive Office.
Section 3. Each alumni association shall collect from
each member an annual dues in the amount to be determined by the Board of
Trustees and 25% of which shall be remitted to the National Treasurer who shall
acknowledge the same through the issuance of official receipt.
Section 4. A one time payment in the amount to be determined
by the Board of Trustees shall be collected from the alumni association and
undergraduate chapters for recognition. The National Treasurer shall likewise
issue official receipt for such payment.
Section 5. Other sources of funds of the organization
shall consist of donations, contributions and proceeds from projects to be
promulgated and imposed by the Board of Trustees. The same shall be duly
acknowledged by the issuance of official receipt by the National Treasurer.
Section 6. Withdrawal from the funds of
the Organization, whether by check or any instrument shall be signed by the
Treasurer and countersigned by the President. If necessary, the Board of
Trustees may designate other signatories.
ARTICLE XIII
PLEDGE,
EDUCATION PROGRAM AND ACCEPTANCE
Section 1. The Pledge Education Program,
and Acceptance as mandated by the Quest for Excellence Membership Manual
approved in the Palawan 2004 National Convention and ratified in 2006 Pili
National Convention is hereby adopted for implementation by all chapters and
associations.
ARTICLE XIV
GENERAL
PROVISIONS
Section 1. A full pledge member shall be
entitled to all the rights and privileges, as well as the obligations and
responsibilities, provided under this Constitution and By-Laws.
Section 2. All members have the right to question and/or
petition in writing any standing rules and regulations of the organization
which are contrary to the Articles of Incorporation and By-Laws and which
complaints shall first be acted upon by the alumni association or chapter.
Section 3. The Organization adheres and adopts the
policy of non-hazing, including new
methods duly approved by the Board of Trustees.
Section 4. The Organization hereby adheres and adopts
the principles of transparency and
accountability.
Section 5. The organization shall
develop and implement a comprehensive and holistic membership development
program that will prepare each member of the organization for a life-long
commitment to the values of service, leadership and loyalty to the Organization.
Section 6. At the beginning of each
calendar year or semester as the case maybe, each chapter; association, and the
national organization shall submit to the National President a list of members
in good standing. Only the members in good standing have the right to vote and
be voted upon.
Section 7. Names of members who have
voluntarily terminated their membership or those who have been expelled from
the Organization shall be stricken from the rolls of members which shall be
disseminated by the Secretary to all chapters and associations for information.
Readmission of terminated members may be made upon the discretion of the Board
of Trustees subject to the guidelines that may be promulgated for the purpose.
ARTICLE XV
PENAL PROVISION
Section 1 The following are considered
Major Offenses :
(a) Conviction
by final judgment of a heinous crime as prescribed by Philippine Laws
and regulations.
(b) Blatant/Gross
violation of Articles of Incorporation and By-Laws, Policies, Rules and
Regulations of the Organization.
(c)
Intentional and unexcused absences of officers and members (Chapter/Alumni
Association/ National) to a regular meeting including-willful abandonment of
duties as an Alphan and other acts inimical to the well-being of the
undergraduate chapter/alumni association.
Section 2. The following are considered
Minor Offenses :
(a) Violations
of Chapter/Alumni Association policies, rules and regulations.
(b) Gross Violations of School
rules and regulations.
Section 3. Hearing.
(a) Offenses
under Section 1 and 2 committed by the members shall be heard and decided by a
majority vote of all the members of the chapter/Alumni Association in
attendance. The decision shall be signed by the Grand Chancellor/Alumni
Association Chairman as the case maybe.
(b)
Due process must be observed in all
proceedings. The offended member must be properly served with notice and
his/her attendance be made compulsory to enable him/her to answer the charges.
However, his right to be heard and to counsel shall be deemed waived if he/she
refuses unreasonably and fail to appear before the body constituted to hear and
decide his/her case.
Section 4 Penalties.
(a) For
minor offences, the local chapter/alumni association, by a majority decision of
all its members duly signed by the grand chancellor/alumni chairman, may
suspend the member/s for a period of not more Thirty (30) days or reprimand the
member/s.
(b)
Suspension of more than Thirty (30) days but not more than Five (5) months
needs the approval of the Provincial Council Chairman/Regional Council
Chairman.
(c) Suspension
of more than Five (5) months needs the approval of the Provincial Council
Chairman/Regional Council Chairman and the National President.
(d) Offenses
whether minor or major committed by Chapter/Alumni Association officers will be
tried by the Provincial/ Regional council, reviewed by the National Grievance
Office and approved by the Board of Trustees.
(e) Offenses
whether minor or major committed by Provincial/Regional Council officers will
be tried by the National Grievance Office and approved by the Board of
Trustees.
(f) A
member or officer who is found to have abandoned his /her duties, or has violated the
Constitution and By-laws or the National Policies of the Organization, may be suspended or expelled upon
recommendation by the chapter or alumni association after due process, to be
reviewed by the National Grievance Committee and approved by the Board of
Trustees whose decision is final and executory, provided that if the decision
is for expulsion of a member or officer, the required of votes is at least 2/3
of the entire membership of the Board of Trustees.
Section 5. Appeal – An aggrieved party
has the right to appeal to the next higher body any decision adverse to such
aggrieved party.
ARTICLE XVI
AMENDMENTS
Section 1. This Articles of
Incorporation and By-Laws or any provision hereof may be amended, revised,
modified or repealed by a Resolution/Motion initiated by a member during a
special meeting called for such purpose and duly endorsed by a majority vote of
the Board of Trustees.
Section 2. Any amendment, revision,
modification or repeal of the Articles of Incorporation and By-laws or any
provision hereof duly endorsed by the Board of Trustees as provided in the
preceding section shall be ratified by at least two-third (2/3) votes of the
national assembly present in a meeting called for the purpose. Provided, that a
written notice as regards to the proposed amendments, revision, modification or
repeal of the same shall have been received by the members of the national
assembly in good standing at least thirty (30) days prior to the date of the
said meeting.
Adopted this 20th day of April
2013 in Dipolog City, by the affirmative vote of two-thirds (2/3) of the
members in good standing of the national assembly in a meeting called for the
purpose.

OF INCORPORATION AND BY-LAWS
PREAMBLE
We, the members of
the Alpha Sigma Phi Philippines, Incorporated, regardless of race, creed and
color, devoted to the noble ideals of humanity as embodied in our schools and
community, in order to uphold and propagate the Principles of Service,
Leadership and Loyalty and to foster the intellectual, cultural, moral, and
social advancement of our members, do hereby promulgate this Article of
Incorporation and By-Laws.
ARTICLE
I DECLARATION OF NAME,
HEADQUARTER,
SEAL,
AIMS
AND SIGNS AND SYMBOLS
Section 1
This organization shall be called
ALPHA SIGMA PHI PHILIPPINES, INCORPORATED. Its principal office located
at 1845 Mongcopa Drive, Orchids Daro, Dumaguete City, Philippines.
Section 2
The organization shall have only one official corporate seal, flag, coat
of arms and other signs and symbols adopted by Undergraduate Chapters and Alumni
Associations which shall appear in all official communications of the
organization.
Section 3
Objectives: The organization which shall be a non-stock and non-profit,
aims to:
3.1 Foster
lifetime brotherhood and sisterhood and unity among members;
3.2 Promote
the welfare of the members
3.3 Build noble leaders and better citizens
for tomorrow
3.4 Work for
the greater involvement in the affairs of schools as well as in the
community.
ARTICLE
II MEMBERSHIP
Section 1 Membership
in this organization is open to bonafide college students with good moral
character, good health, and who have passed the Alpha Sigma Phi Entrance
Examinations as contained in the Quest for Excellence Manual.
Section 2 Membership
is also open to members of the community of good standing and manifested
exemplary leadership and service to the community after signifying an
application in writing through to the National Executive Office exhibiting
genuine concern and dedication to the organization duly approved by the
National Assembly. This member at large also enjoys the same rights and
privileges conferred to a regular member as well as the duties and obligations
imposed.
Section 3 Quitters
and resignees of any chapter and other fraternities shall not be eligible for
membership in this organization.
Section 4 Any
member who wants to be affiliated to another chapter and alumni association
must apply in writing his intention to become a member thereof. In which case
an application shall not be considered without the accompanying Certificate of
Clearance from the applicant’s chapter of origin or from the National Executive
Office.
Section 5 Only
member of good standing shall have the rights to vote and be voted upon.
Section 6 Any
member shall forever be barred from
membership in any other social college fraternity and sorority. However, this provision shall not apply to
any specific college fraternity/sorrority such as professional, class, honorary
as may be determined by the Board of Trustees.
Section 7 A
member becomes full pledged only after passing the initiation ritual
conducted by a recognized chapter authorized by the National President.
Section 8 Termination
of Membership.
8.1 A member who
voluntarily renounces in any form his membership shall forfeit his
rights and privileges and will be delisted from the national roster.
8.2 Expulsion. A member who by his own act or behavior
which constitute a ground for removal from the membership shall be
determined by the Board of Trustees.
ARTICLE
III
NATIONAL ASSEMBLY
Section 1 The
National Assembly shall be composed of the general membership of the
organization.
Section 2 The
National Assembly shall be held biennially however, in cases of unforeseen
events that will bar the holding of the National Assembly, the Board of
Trustees in a meeting called for the purpose, shall motu proprio, reset
the assembly provided that, the convening of the same shall not be earlier than
1 month nor later than 3 months after such occurrence.
Section 3 National
Leadership Conference shall be held in between biennial convention.
ARTICLE
IV
MEETING
Section 1 The National Assembly shall meet
annually every 3rd Sunday of April.
Section 2 The regular meetings shall be held
during Biennial Convention and National Leadership Conference.
Section 3 Special Meetings shall be in the form of
Conclaves and Summits.
ARTICLE
V BOARD OF TRUSTEES
Section 1 The Board of
Trustees is the highest policy making body.
Section 2 The Board of
Trustees shall be composed of fifteen (15) members as follows:
1.
Six (6) alumni members (at large).
2. Six (6) alumni representatives, two (2) each from Luzon, Visayas and Mindanao
3. Three (3)
undergraduates, each representing Luzon, Visayas and Mindanao
Section 3 The
term of office of the Board of Trustees shall be four (4) years except for
undergraduate, which shall be two (2) years and the alumni representatives of
Luzon, Visayas and Mindanao shall serve for a term of four (4) years and the last three (3) shall serve for a
term of two (2) years. The succeeding elected members shall serve for four (4)
years. They shall be elected through secret balloting among voting members
of the assembly.
Section 4 The
following management committees shall have as Chairman a member of the Board of Trustees, to wit;
4.1 Committee on Membership and Expansion
4.2 Committee on FINANCE
4.3 Committee on Constitutional Amendments
4.4 Committee on Ritual
4.5 Committee on History
Section 5 The
Committee Chairmen shall have full authority to appoint at least four (4)
members of their respective committees, and shall submit the same to the
Board of Trustees for proper acknowledgement.
He
shall also submit plans and programs of actions for approval of the
Board of Trustees.
Section 6 These
committees shall assist the Board of Trustees in decision-making
relative to committee affairs functions.
ARTICLE VI
THE NATIONAL EXECUTIVE OFFICERS
Section 1 The
National Executive Officers shall be as follows:
1.1 President
1.2 Vice President
1.3 Executive
Director
1.4 Treasurer
1.5 Auditor, and
1.6 Herald
Section 2 The
National Executive Officers shall be elected by the Board of Trustees from
among themselves and shall serve for a period of two (2) years, except for the
Executive Director who shall be appointed by the President and concurred by the
Board of Trustees.
Section 3 In
cases of vacancy in the National Executive Office by reason of death,
incapacity, immigration, or removal for cause the Board of Trustees shall fill
the vacancy/ies by election for the unexpired term from among the present
members of the Board.
ARTICLE VII
QUALIFICATIONS AND DUTIES OF
NATIONAL EXECUTIVE OFFICERS
Section 1 The National President shall have the
following qualifications:
1.1 He must be a degree holder or a graduate
of at least four-year course.
1.2 He must be a bonafide and member of good
standing.
1.3 He must be of good moral character.
1.4 He must be financially capable to perform
the functions of his office.
Section 2 The duties of the National President are:
2.1 He shall be the Chief Executive of the
organization and shall be directly responsible and render reports to the
assembly relative to the affairs of the organization.
2.2 He shall preside the opening of the
National Assembly.
2.3 He shall preside in other National Meetings
of the organization.
2.4 He or his duly authorized representative,
shall issue permits to organize and establish, and to recognize chapters and
alumni associations.
2.5 He shall cause the preparation of a
two-year program and an annual budget to be endorsed by the Board of Trustees
and subject for the approval of the National Assembly.
2.6 He shall be responsible with fund
disbursements and other fiscal matters of the organization.
Section 3 The National Vice President shall have
the same qualifications as the National President.
Section 4 The National Vice-President shall have
the following duties:
4.1 He shall automatically take over and act
as the National President in case of incapacity, death or permanent disability
on the part of the National President. He shall assume the presidency but only
for the unexpired term.
4.2 He shall assist in the over-seeing and or
supervising the overall operation of the undergraduate chapters and Alumni
Associations.
4.3 He shall perform all other functions as
assigned by the National President.
Section 5 Qualifications of the National Executive
Director.
5.1 The National Executive Director must
possess all the qualifications of the National President as provided for under
Section 1 Article 7. In addition, he
must be willing to work full time and accept compensation which shall be
determined by the Board of Trustees.
5.2 Duties of the National Executive Director:
5.2a He
shall be responsible for the operation of the National Headquarter;
5.2b He
shall be responsible for the orderly keeping of the records of the
organization, and the proper dissemination of the communications/correspondents
to all concerned;
Section 6 Duties of National Treasurer
6. 1 He shall be the chief finance officer of
the organization;
6.
2 He must keep an accurate record of
all collections, disbursements and other financial activities of the
organization;
6.
3 He shall update and present the book
of account to the Board of Trustees during its annual meeting or when required.
6.
4 He shall submit an annual audited
report to the Securities and Exchange Commission as required, and to the
National Assembly.
6.
5 He must deposit the funds of the
organization under its name in any reputable bank approved by the Board of
Trustees for safekeeping.
No funds deposit shall
be withdrawn unless approved and authorized by the Board of Trustees.
6.6 He must be duly bonded.
Section 7 Qualifications and Duties of National
Auditor
7.1 He must be a bonafide and active member
of good standing in the organization.
7.2
He must be of good moral character.
7.3 He must preferably be a commerce graduate
with knowledge and experience in auditing.
7.4 He must conduct a periodic audit of the
national treasurer and or chapter/associations treasurer.
7.5 He must submit periodic reports on the
financial status of the organization to the National Assembly and the Board of
Trustees.
7.6 He shall report any and all irregularities
done in any offices of the organization, and submit his findings and
recommendations for appropriate action by the Board of Trustees.
Section 8 Qualifications and Duties of National
Herald
8.1 He must have a working knowledge on journalism and must possess adequate
skills and talent on oral and written communications.
8.2 He shall be the Director of Publications
and such, he shall be responsible of all publications of the organization
including the National Newsletter and official website
8.3 He must be ready to assume other duties
that may be assigned to him by the National President or the Board of Trustees.
ARTICLE
VIII
ALUMNI
ASSOCIATIONS, UNDERGRADUATE CHAPTERS
AND OTHER
OFFICES
A.
ALUMNI ASSOCIATIONS
Section 1 The following are qualified to join and
form Alumni Associations:
1.1 Brothers and sisters who finished at least
four year course and economically stable.
1.2 Brothers and sisters who have acquired a
certificate of Diploma of any two-year course or less from any educational
institutions duly recognized by the Commission on Higher Education and
economically stable.
1.3 Brothers and sisters who not having been
able to finish a degree nor acquire a certificate/ diploma but gainfully
employed and financially capable may qualify to join an Alumni Association subject
to the other legal requirements that may be hereafter imposed by the Alumni
Association.
Section 2 Upon application, a Certificate of
Provisional Recognition may be granted to an Alumni Association having at least
fifteen (15) members.
As a general rule, no such
accreditation shall be allowed in areas where accredited Alumni Association
already exists.
The formal recognition
and chartering shall be issued only after inspection of the National Executive
Director or in his absence, by any representative duly authorized by the
National President.
Section 3 Alumni Associations shall be governed by
their own policies, rules and regulations not inconsistent with this Articles
of Incorporation and By-Laws and those approved by the National Assembly.
Section 4 Each alumni Association shall be entitled
to two (2) official/voting delegates and one (1) alternate to the National
Assemblies.
Section 5 The following shall be the officers of
the Alumni Associations; Chairman, Vice Chairman, Secretary, Treasurer,
Auditor, and Press Relations Officer, all of which shall be prefixed with the
descriptive word, “Alumni”.
Section 6 In the event that an Alumni
Association’s recognition is withdrawn,
its records and other properties shall be surrendered to the Principal Office,
and for this purpose, the National President may appoint a Trustee to take
custody of such properties.
B.
UNDERGRADUATE CHAPTERS
Section 1 The following shall be the officers of
the Undergraduate Chapters; Grand Chancellor, Chancellor, Keeper of the Scroll,
Exchequer, Keeper of the Mace, Pledge Educator and Herald. There shall also be two Advisers (either
alumni or non-member) who shall be chosen by the Chapter Officers.
Section 2 Undergraduate Chapters shall be
established in Educational Institutions duly recognized by the Commission on
Higher Education.
Section 3 A newly organized chapter shall only be
issued a Certificate of Recognition upon submission of the requirements set by
the Board of Trustees and upon attendance in a National Assembly.
Section 4 Each chapter has its official name a
letter or a combination of the letters of the Greek Alphabet followed by the
name of the institution.
Section 5 Each Chapter shall be entitled to two (2)
official/voting delegates and one (1) alternate to National Assemblies.
Section 6 Undergraduate Chapters shall be governed
by their own policies, rules and regulations not inconsistent with this
Articles of Incorporation and By-Laws and those approved by the National
Assembly.
Section 7 In the event that a Chapter’s recognition
is withdrawn, its records and other properties shall be surrendered to the
National Headquarters, and for this purpose, the National President may appoint
a Trustee to take custody of such properties.
IX. NATIONAL ALUMNI
Club
Section 1. In the pursuit of these objectives
National Alumni Club will be created to be composed of Alumni members.
Section 2. This club shall be managed by its own
board of trustees to be elected by and among the members thereof.
Section 3. This Club shall raise funds for the
organization.
X. ALUMNI Foundation
Section 1. There shall be created an alumni
foundation which shall be separate and distinct from this organization to be
composed of all members and non members.
Section 2. This Foundation will raised funds for the
organization.
XI. Past National
President advisory
Section 1 They shall be called “the elders” of the
organization
Section 2 They shall act as advisors to the board of
trustees.
Section 3 Its composition shall be composed of the
past national president, sorority president, and supreme grand chancellor. They shall elect among themselves a
coordinator.
Section 4 The presence of the elders in any
national meeting shall be privileged as a voting member but cannot be voted to
any elected position. However, if the
elder is representative of any alumni association his/her representation
prevails.
Section 5 As a commitment to legacy, the elder
shall contribute any amount monthly apart from other financial due to
organization. Likewise, they shall act as a role model in all undertakings.
XII. National Grievance OFFICE
Section 1. There shall be created an Office of the
Ombudsman composed of a Chairman and two (2) members to be elected by the National Assembly during
biennial convention, whose term of office is two (2) years.
Section 2. It shall be vested with investigative and
adjudicative powers.
Section 3. There shall be a separate budget for this
Office which shall be approved by the National Biennial Convention.
Section 4. This is a collegial body which shall have
full authority to organize and come up with its own implementing rules and
guidelines.
ARTICLE XIII PENAL
PROVISIONS
SECTION 1 THE PENAL PROVISIONS SHAL BE THOSE EMBODIED
IN THE POLICY OF THE ORGANIZATION AND THOSE THAT MAY BE FORMULATED BY THE BOARD
OF TRUSTEES.
Article XIV FEES,
CHARGES AND ASSESSMENTS
Section 1 A one time registration Fee in the amount
of P300.00 shall be collected from each member for the issuance of National
I.D. For the replacement the same amount
shall be collected.
Section 2 Each Chapter shall collect from each
member a monthly due out of which P5.00 shall be remitted to the National
Executive Office.
Section 3 Each Alumni Association shall collect
from each member a monthly due out of which P365.00 per year shall be remitted
to the National Executive Office.
Section 4 A one time payment in the amount of
P500.00 shall be collected from Alumni Association and Undergraduate Chapter
for recognition.
Section 5 Other sources of funds for the
Organization shall consist of donations, contributions and proceeds from
fund-raising projects.
ARTICLE XV GENERAL PROVISIONS
Section 1 An applicant sworn in as a full-pledged
member of good standing shall be entitled to all the rights and privileges as
well as the obligations and responsibilities provided (imposed) for under this
Articles of Incorporation and By-Laws.
Section 2 All Members shall have the right to
question and/or petition “in writing” any standing rule or regulation of the
organization which are contrary to democratic ideals and procedures.
Section 3 Our Organization adheres and adopts a
policy of non-hazing in recruiting new members.
Section 4 No member should permit any person, not a
pledge or member, to use any
paraphernalia or property bearing insignia, marks, signs, and symbols of
the Fraternity except to the immediate members of his/her family.
Section 5 All members shall abide by and follow
this Articles of Incorporation and By Laws, rules and regulations and the
policies of the organization. Any violation of the same shall be subject to the
penal provisions.
ARTICLE XVI AMENDMENTS
Section 1 This Articles of Incorporation and By
Laws or any provision hereof may be amended, revised, modified, or repealed by
a majority vote of the Board of Trustees unless otherwise provided for under
the Corporation Code.
Section 2 Any amendments or revisions of these
Articles of Incorporation and By-Laws duly approved by the Board of Trustees as
provided in the preceding section shall be ratified by at least two-third (2/3)
votes of the national assembly present in a meeting called for the
purpose. Provided that a written notice
as regards to the proposed amendments or revision of the same, shall had been
received by the members of the national assembly in good standing at least
thirty days (30) days prior to the date of the said meeting.
For this purpose a member
in good standing refers to:
2.1 Must be a bonafide and ID card bearing member
of this organization; and
2.2 Must be a registered member and nominated
delegate of a recognized chapter or alumni association; and
2.3 Must have no
unsettled financial obligation to the organization.
2.4 The name of the delegate must appear in the
official and certified list of members
of good standing in the organization.

association for the assembly.
Section 6
Annual Meetings in between National
Assemblies shall take the form of educational conferences for the upliftment
and enrichment of the life of the organization.
ARTICLE IV
THE NATIONAL COUNCIL
Section 1 The executive powers and functions shall be vested in the
National Council.
Section 2 The National Council shall institute and
establish means and procedures in pursuing and undertaking judicial functions.
Section 3 The
National Council shall be composed of fifteen (15) members to include the
following:
1. Six(6)
alumni members (at large).
2. Six (6)
alumni representatives, two (2) each
from Luzon, Visayas and Mindanao
3.Three
(3) undergraduates, each representing Luzon, Visayas and Mindanao
Section 4 Members of the National Council shall be
entitled to one vote during the National Assemblies.
Section 5 The National Council shall act as Board of Directors of the
Organization.
Section 6
The term of office of the National
Council Members shall be four (4) years except for undergraduate, which shall
be two (2) years. For the first National Council Members, the first three (3)
highest votes of the alumni at large and the alumni representatives of Luzon,
Visayas and Mindanao shall serve for a term of four (4) years and the last three (3) shall serve for a
term of two (2) years. The succeeding elected members shall serve for four (4)
years. They shall be elected thru secret balloting among members of the
assembly.
Section 7a The following standing committees shall be
composed of members of the National Council as Chairman, to wit;

Section 7b The Chairman is given the blanket authority

7c These committees shall assist the
National Council in decision-making relative to committee affairs functions.

concurred by the National Council. The term of office of the Executive Director
is co-terminus with the President.
Section 3 In case of vacancies in the National
officers by reason of death, incapacity or Immigration, the National Assembly
shall elect the new Board.
C.
QUALIFICATIONS AND DUTIES OF NATIONAL OFFICERS
Section 1 The National President shall have the
following qualifications:
1. a
He must be a degree holder or a graduate of at least four-year course.
1. b He must be a bonafide and active member of good standing.
1. c He
must be of good moral character
Section 2 The duties of the National President are:
2. a He shall be the Chief
Executive of the organization and shall
be directly responsible and render reports to the assembly relative to the
affairs of the organization.
2. b He shall preside the
National Assembly and in all National Meeting of the organization.
2. c He or his duly authorized
representative, shall issue permits to organize, establish, and recognize
chapters and alumni associations.
2. d He shall prepare a
two-year program and budget subject for approval of the National Council.
2. e He shall be responsible in
fund disbursement and other fiscal matters of the Organization.
Section 3 The National Vice
President shall have the same qualifications as the National President.
Section 4 The National Vice-President
shall have the following duties:
4.a He shall automatically
take over and act as the National President in case of incapacity, death or
permanent disability on the part of the National President. He shall assume the
presidency but only for the unexpired term.
4.b He shall assist in the
over-seeing and or supervising the overall operation of the undergraduate
chapters and Alumni Associations.
4. c He shall perform all other
functions as assigned by the National
President.
Section 5 Qualifications of the National Executive
Director.
5.a The National Executive
Director must possess all the qualifications
of the National President as provided for under Section 1, subtitle C, Article
4, Supra, In addition, he must be willing to work full time and accept
compensation which shall be determined by the National Council.
Section 6 Duties of the National Executive Director:
6. a He shall be responsible for the
maintenance of the National Headquarter;
6. b He shall be responsible
for the orderly keeping of the records of the organization, and the proper
dissemination of the communications/correspondents to all concerned;
Section 7 Duties of the National
Executive Director:
6. a He shall be responsible for the
maintenance of the National Headquarter;
6. b He shall be responsible
for the orderly keeping of the records of the organization, and the proper
dissemination of the communications/correspondents to all concerned.
Section 8 Duties of National Treasurer
8. a He shall be the chief budget officer of
the organization;
8. b He must keep an accurate
record of all collections, disbursements and other financial activities of the organization;
8. c He shall update and
present the book of account to the National Council during its annual meeting.
8. d He shall present an annual
audited report to the Securities and Exchange Commission when required, and to
the National Assembly with or
without a need for a prior request or demand.
8. e He must deposit the funds
of the organization in any reputable
bank for safekeeping and withdraw any amount thereof only upon the order of the National President
or by a decision of National Council.
Section 9 Qualifications and Duties of National
Auditor
9.a He must be a bonafide and active member
of good standing in the organizations.
9.b He must show honesty, concern and
objectivity in his work.
9.c He must preferably be a
commerce graduate with knowledge and experience in auditing.
9.d He must be of good moral character.
9.e He must conduct a periodic
audit of the national treasurer and or chapter/associations treasurer.
9.f He must submit report on the financial
status of the organization to the
National Assembly and the National Council.
9.g He shall report any and
all irregularities done in any offices of the organization, and submit his
findings and recommendations for appropriate action by National Council
Section 10 Qualifications and Duties of National Herald
10.a He must have a working knowledge and
journalism and must posses adequate skills and talent and oral and written
communications.
10. b He shall be a Director of Publications and
such, he shall be responsible of all publications of the organization including
the National Newsletter.
10. c He must be ready to assume other duties that
maybe assigned him by the National President
ARTICLE V
ALUMNI ASSOCIATIONS AND UNDERGRADUATE CHAPTERS
A. ALUMNI ASSOCIATIONS
Section
1 The following are qualified to
join and form Alumni Associations:
1. a Brothers
and sisters who finished at least four year course and economically stable.
1. b Brothers
and sisters who have acquired a certificate of Diploma of any two-year course
or less from any educational institutions duly recognized by the Commission on
Higher Education and economically stable.
1. c Brothers
and sisters who not having been able to finish a degree nor acquire a
certificate/ diploma but gainfully employed and financially capable may qualify
to join an Alumni Association subject to the other legal requirements that
maybe hereafter impose by the Alumni Association.
Section 2 Upon
application a Certificate of Provisional Recognition maybe granted to an Alumni
Association having at least fifteen (15) members, provided but no accredited
Alumni Association exists in the Area. The formal recognition and chartering
shall be issued only after inspection of the Executive Directors. In the event
that the Executive Directors cannot do the inspection for some reasons or
another, it will now be the discretion of the National President to inspect or
assign the Board of Director/s of the area to do the inspection. Inspection
shall take place within a prescribe period to be set by the National Council
upon receive of the application for inspection.
Section 3 Alumni
Associations shall governed by their own policies, rules and regulations not inconsistent
with these Constitutions and By-Laws and those approved by the National
Assembly/ Council.
Section 4 Each
alumni Association shall be entitled to two (2) official/voting delegates and
one (1) alternate to the National Assemblies or Convention.
Section 5 The following shall be the officers of the Alumni
Associations; Chairman, Vice Chairman, Secretary, Treasurer, Auditor, and Press
Relations Officer, all of which shall be prefixed with the descriptive word,
“Alumni”.
B.
UNDERGRADUATE CHAPTERS
Section 1 The
following shall be the officers of the Undergraduate Chapters; Grand
Chancellor, Chancellor, Keeper of the Scroll, Exchequer, Keeper of the Mace,
Pledge Educator, Herald and two (2) Alumni Advisers.
Section 2 Undergraduate
Chapters shall be established in Educational Institutions duly recognized by
the Commission on Higher Education.
Section 3 A
newly organized chapters shall only be issued a Certificate of Recognition only
upon submission of the requirements set by the National Headquarters and upon
attendance in a National Leadership Conference (NLC) or National Biennial
Convention (NBC).
Section 4 Each
chapter has its official name-a letter or a combination of the letters of the
Greek Alphabet followed by the name of the institution where it is located.
Section 5 Each
Chapter shall be entitled to two (2) official/voting delegates and one (1)
alternate to National Assemblies or Conventions.
Section 6 Each
Chapter shall formulate its own rules, regulations and policies for its
government not inconsistent with this Constitution and By-Laws and policies
adopted by the National Council/assembly.
Section 7 The
Grand Chancellor shall see to it that all communication from the National
Headquarters and National Officers are read in meetings.
Section 8
In the event that a Chapter becomes in active, its certificate of recognition,
records and other properties shall be surrendered to the National Headquarters,
and for this purpose, the National President may appoint at Trustee to take
custody of such properties.

ARTICLE VI
FEES, CHARGES AND ASSESSMENTS
Section 1 Registration
Fees in such amount as has been prescribed under this Constitution and By-Laws
and Policies adopted by the National assembly shall be collected from the
individual and undergraduate Members. Such fees shall be remitted to form part
of the National Fund.
Section 2 Each
Chapter or Alumni Association shall authorized to collect from their members monthly
dues in accordance to their respective By-Laws and policies, provided thirty
per centum (30%) of such Monthly Dues shall be remitted to the coffers of the
National Council.
Section 3 Recognition
Fees, in such amount prescribed under this Constitution and By-Laws and the
policies adopted by the National assembly shall be collected from individual
Alumni and Undergraduate Members, which fees shall be remitted to the National
Council and form part of the National Budget.
Section 4 Other
sources of organization funds shall consist of donations, contributions and
proceeds from fund-raising projects.
ARTICLE VII
GENERAL PROVISIONS
Section 1 An
applicant sworn in as a full-pledged member shall be entitled to all the rights
and privileges as well as the obligations and responsibilities provided for
under this Constitution and By-Laws.
Section 2 All
members shall have the right to redress for grievances for abuses and
injustices committed against them by other members.
Section 3 All
Members shall have the right to question and/or petition “in writing” any
standing rule or regulation of the organization which are contrary to
democratic ideals and procedures.
Section 4 No
Members shall attend any activity or gathering come to school, attend classes,
and loiter around the school campus when drunk or intoxicated.
Section 5 Vandalism
or any act delinquency is strictly prohibited and members found committing any
unlawful act shall be dealt with accordingly.
Section 6 A Member must cooperate and contribute
fully in the project undertaken by the organization.
Section 7 The calling of “ Brother” or “ Sister” in
or outside the school must be emphasized.
Section 8 No
Member can affiliate with any chapter or alumni association unless he presents
a certification from his mother chapter that he is cleared of his accounts and
other obligations therein, and that he is not under penalty suspension.
Section 9 All
bonafide members shall abide by and follow this Constitution and By Laws, rules
and regulations and the policies of the organization. Any violation of the same
shall be subject to the penal provisions.
ARTICLE VIII
AMENDMENTS
Section 1 This
Constitution and By Laws or any provision hereof may be amended, revised,
modified, or repealed if three-fourths (3/4) votes of the members present to
the National Assembly at a regular session called for the purpose, or through a
Constitutional Convention provided that it shall not be amended, or revised
within four (4) years from its ratification and not as often as five (5) years
thereafter.
Section 2 Any
amendment to or revision of this Constitution and By-Laws made in a
Constitutional Convention or in a National Assembly shall be valid only when
approved or ratified by a majority vote of the members present in the
Constitutional Convention or of the National Assembly during its regular
session.
ARTICLE
IX
RATIFICATION
Section 1 This
Constitution and By-Laws shall be approved upon its Ratification by at least
three-fourth (3/4) votes of all official Delegates presents at a National Assembly during its
regular session.

Amendments: Alumni = P500.00
Undergraduate = P250.00
- Individual members of every chapter/alumni association shall be assessed of the following
registration/membership fee:
a. alumni member = P250.00
b. undergraduate member = P150.00
The payment and remittance of the foregoing fees to the National Headquarters shall entitle the
member to the issuance of the National Identification Card and Membership Certificate.
3. Each chapter/alumni association shall extend monthly or yearly financial assistance for the
smooth operations of the National Office out of their membership dues, as follows:
a. alumni association = P360/year
b. undergraduate chapter = 30% of P5.00 collected from the member every month.
III
PENAL PROVISIONS
A. OFFENSES
1. Violations of chapter/association policies, rules, and regulations.
2. Violations of school rules and regulations.
- Violations of Philippine penal laws or conviction by final judgment for offenses involving moral turpitude.
- Violations of the Constitution and By-Laws, policies, rules, and regulations of the organization.
B. PENALTIES
1. For offenses under A.1 committed by members, the penalty shall be a reprimand, or a suspension for a period of not exceeding 180 days, or both.
2. For offenses under A.2 committed by members, the penalty shall be a suspension of not more
than 180 days.
- For offenses under A.3 and A.4 committed by members, the penalty shall be a suspension of not less than 180 days or an indefinite suspension.
- For offenses under A.1 and A.2 committed by officers (national/alumni association/chapter),
the penalty shall be a suspension of 180 days minimum to one year maximum.
- For offenses under A.3 and A.4 committed by officers, the penalty of at least one year suspension to indefinite suspension.

I
ON MEBERSHIP
- Quitters and resignees of any chapter and other fraternities shall never be accepted to this organization.
- Applicants must undergo and pass the requisite Pledge Education before he/she can be a member. In one case, however, shall an applicant be subjected to the Pledge Education without first securing and submitting a medical certificate and police clearance and a certificate of good moral character from the school authorities.
- A regular members refers to any bonafide member of the organization who have undergone and passed the Pledge Education Program and have satisfactorily complied with all the requirements prescribed by the Constitution and By-Laws and other existing policies of the organization. A member shall be entitled to all the rights and privileges as well as the responsibilities under the organization.
- An affiliate member refers to any regular member of any chapter who signified in writing his willingness to transfer to another chapter or association shall have been favorably approved by the new chapter in accordance with the Constitution and By-Laws. In no case, shall an application for affiliation be considered without the accompanying Certificate of Clearance from the applicants chapter of origin or from the National Headquarters.
- The organization shall henceforth, not grant the status of “honorary member” to any individual or institution.
- Membership in the organization is lifetime. Any member not involved in any manner in the affairs of the organization shall be considered “inactive” and the rights and privileges enjoyed by the regular members shall not be extended to him.
II
FEES, CHARGES AND ASSESSMENTS
- A recognition fee of two hundred fifty pesos (P250.00) shall be assessed at each chapter.
Payment of such recognition fee entitled the chapter/alumni association for the issuance of a
Certificate of Recognition. A duly recognized chapter/association shall be entitled to the
following rights and privileges:
a. communications from the National Headquarters;
b. invitations to National Assemblies/Conferences;
c. publications, newsletters, manuals and handbooks;
d. ID’s, certificate of membership; etc.
The chapter not recognized shall not be entitled to the foregoing rights and privileges.

Constitution and By-laws.
Article 1
DECLARATION OF NAME,
HEADQUARTERS,SEAL & AIMS
Section 1.
This Organization shall be called
Alpha Sigma Phi
Philippines, Inc. Its National
Headquarters shall be
located in Dumaguete City,
Philippines
Section 2.
The organization shall have only one
corporate seal
to be adopted by undergraduate
chapters and
alumni associations and which shall
appear in all
official communications of the
organization.
Section 3.
Objectives: The organization shall
aim to:
3.1: foster lifetime brotherhood and
sisterhood and
unity among members.
3.2: Promote the welfare of the
members;
3.3: build noble leaders and better
citizens for
tomorrow;
3.4: work for greater involvement in
the affairs of the
school as well as in the community
Article II
MEMBERSHIP
Sec. 1: membership in this organization
is open to
bonafide college students with good
moral character,
good health, and who have passed the
Alpha Sigma Phi
Entrance Examinations.
Article III
NATIONAL ASSEMBLY
Sec 1. The National Assembly shall be
the highest
policy making body of the
organization.
Sec 2. The national assembly shall be
composed of
official delegates from undergraduate
chapters,
alumni associations and the members
of the national
council.
Sec 3. The National Assembly shall be held
biennially.
In cases of unforeseen events that
will bar the holding
of the assembly, the National
Council, in a meeting
called for the purpose, shall molu
propio,reset the
assembly provided that, the convening
of the same
shall not be earlier than one month
nor later than
three months after such occurrence.
Sec 4. Notices for the national
assembly shall be sent
not less than three months before the
date fixed.
Sec 5: A majority of the official delegates in
attendance shall constitute a quorom.
Sec 6: Each official delegate or in his absence, his
alternate, shall make a brief written
report on the
state of his chapter or association
to the assembly.
Sec 7: Annual Meetings in between
National
Assemblies shall take the form of
Educational
Conference for the uplift and
enrichment of the life
of the organization.
ARTICLE IV
THE NATIONAL COUNCIL
Sec 1: The Executive Powers and
function shall be
vested in the national council.
Sec 2: The National Council shall institute and
establish means and procedures in
pursuing and
undertaking judicial functions.
Sec 3: The national council shall be
composed of
sixteen (16) members to inlude the
six (6) national
officers, the immediate Fast National
President,
(3) Undergraduate Representatives for
Luzon,
Visayas and Mindanao, and three (3)
Representatives
of the international council who are
appointed by
the National President.
Sec 4: Members of the national council
shall be
entitled to one vote each during
national assemblies.
Sec 5: The national council shall act
as the board of
Directors of the organization
THE NATIONAL OFFICERS
Sec 1: The national officers shall be
as follows
1.a: National President;
1.b: National V- President;
1.c: Executive Director;
1.d: National Treasurer;
1.e: National Auditor: and
1.f: National Herald
Sec 2: The National President, the
national Vice-
President, and the National Auditor

by the assembly for a term of 2
years, without
prejudice to re-election for another

elections shall be by secret
balloting, and those

deemed duly elected to their
corresponding office.
Sec 3: All other National officers
shall be Appointed
by the national President.

organization which are contrary to
democratic ideals
and procedures.
Sec. 4: In no case shall a member
come to school,
attend classes, or loiter around the
school campus when
drunk or intoxicated.
Sec. 5: Vandalism or any act of
delinquency is strictly
prohibited and members found
committing any
unlawful act shall be dealt with
accordingly.
Sec. 6: A member must cooperate fully
in the projects
undertaken by the organization.
Sec. 7: The calling of " brother
" or " sister " in or outside
the school must be emphasized.
Sec. 8: No member can affiliate with
any chapter or
alumni association unless he presents
a certification
from his mother chapter that he is
cleared of his
accounts and other obligations
therein, and that he is
not under the penalty of suspension.
Sec. 9: All bonafide members shall
abide by and follow
the constitution and by-laws, the rules and regulations,
and the policies of the organization.
Any violation of the
same shall be subject to appropriate
sanctions as
provided for by the penal provisions.
ARTICLE VIII
AMENDMENTS
Sec. 1: This constitution and by-laws
or any provision
hereof may be amended, revised,
modified, or repealed
by three-fourths (3/4) votes of the
national assembly
at a regular session called for the
purpose, or through
a constitutional convention, provided
that, it shall not
be amended, or revised within four
(4) years from its
ratification and not as often as five
(5) years thereafter.
Sec. 2: Any amendment to or revision
of this
constitution and by-laws made in a
constitutional
convention shall be valid only when
approved or
ratified by a majority vote of the
national assembly
during its regular session.
ARTICLE IX
RATIFICATION
Sec. 1: This constitution and by-laws
shall be approved
upon its ratification by at least
three-fourths (3/4) votes
of all official delegates present at
a national assembly/
convention.
